Terms of Service

ModelGates (the "Service") is an HTTP API gateway that proxies chat completion and embedding requests from you to third-party AI model providers. We bill you using the published ModelGates rates for your account pricing tier and the billable usage recorded for each request.

You must be at least 13 years old (16 in the EU) to register. You're responsible for the security of your password and API keys; revoke any key you suspect is compromised at /workspaces. Accounts that go inactive for 12 months may be archived.

You agree not to use the Service to:

• Generate content that is illegal in your jurisdiction or in the United States.
• Generate CSAM, terrorism content, or content that targets specific individuals with harassment.
• Bypass content safety policies of upstream providers (refer to each provider's usage policies — we forward those obligations to you).
• Reverse-engineer or scrape the Service in a way that disrupts other customers.
• Resell raw API access outside the affiliate reseller program or another written agreement with ModelGates. Contact sales@modelgates.ai for other reseller arrangements.

We may suspend accounts that violate these terms. Egregious violations (CSAM, fraud) may result in immediate termination and forfeiture of remaining balance.

• The Service is prepaid: you top up a USD balance and we deduct as you consume tokens.
• Pricing is published at /models. Prices may change with 14 days' notice.
• Auto-topup, if enabled, charges your saved card off-session when your balance crosses your threshold. You can disable it any time at /settings/credits.
• We reconcile against Stripe every 5 minutes. Discrepancies, if any, are resolved in your favor.

See our Refund Policy for details. In short: refunds within 14 days of the original charge for unused balance, no questions asked.

By generating a referral link at /affiliate you agree:

• You may set a partner markup from 0–100%; the default is 10%.
• A referred customer's price is the published ModelGates price plus the partner markup applied to eligible usage.
• The affiliate accrues 80% of the markup delta. ModelGates retains the remaining 20% of that delta.
• Self-referrals are not eligible.
• You may not engage in spam, deceptive marketing, or impersonate ModelGates.
• The program has a $50 minimum withdrawal. Eligible withdrawal requests are processed within 48 hours.
• Payouts use USDT on the TRC20 network. You are responsible for providing and verifying a compatible TRC20 wallet address.

We target 99.5% monthly uptime for the gateway. We do not currently offer a contractual SLA on the Pay-as-you-go plan. Enterprise SLAs are available on request via sales@modelgates.ai.

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, our aggregate liability under these terms is limited to the greater of (a) $100 USD or (b) the amount you paid ModelGates in the 30 days preceding the incident.

We are not responsible for the accuracy, legality, or appropriateness of content generated by upstream models.

You may close your account any time at /settings/privacy. Unused balance is refunded subject to our Refund Policy. We may terminate accounts for violation of these terms or for non-payment of negative balances.

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts of Delaware.

We'll update the "Last updated" date when these terms change. Material changes will be emailed to active users 30 days in advance. Continuing to use the Service after changes take effect constitutes acceptance.
